Development Services

6.1 Scope of Work

Custom development services (Magento, Shopify, WooCommerce, React, Node.js, etc.) are governed by a separate Statement of Work (SOW) or project agreement between you and CodeAtoZ. These Terms apply in addition to any SOW; in the event of conflict, the SOW prevails for that specific engagement.

6.2 Project Deliverables

Deliverables, timelines, milestones, and payment schedules are defined in the SOW. We will use commercially reasonable efforts to meet agreed-upon timelines, but estimates are not guarantees unless explicitly stated as fixed deadlines.

6.3 Client Responsibilities

You agree to provide timely access to necessary accounts, assets, content, feedback, and approvals required for project progress. Delays caused by your unavailability may affect project timelines and are not our responsibility.

6.4 Intellectual Property in Custom Work

Unless otherwise agreed in the SOW:

  • Custom Code: Upon full payment, intellectual property rights in custom code written specifically for your project transfer to you.
  • Pre-Existing Tools & Libraries: We retain ownership of our pre-existing frameworks, tools, libraries, and reusable components. You receive a perpetual, non-exclusive license to use them as part of your delivered project.
  • Third-Party Assets: Third-party libraries, fonts, images, and APIs remain subject to their respective licenses.

6.5 Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement, including business strategies, technical architecture, credentials, and trade secrets. This obligation survives termination of the engagement.

07

7.3 Open Source

Where our Products include open-source components, those components remain subject to their respective open-source licenses. A list of open-source dependencies and their licenses is available within each plugin's source code.

  • Misrepresent your identity or affiliation with any person or entity.

We reserve the right to investigate violations and take appropriate action, including account termination and legal proceedings.

09

If you submit content to our Website (comments, reviews, forum posts, support tickets), you grant CodeAtoZ a non-exclusive, worldwide, royalty-free license to use, display, and reproduce that content in connection with our Services.

9.2 Feedback

If you provide suggestions, feature requests, or feedback about our Products or Services, we may use that feedback without any obligation or compensation to you. Feedback does not create any confidentiality obligation on our part.

9.3 Content Moderation

11.3 Compatibility

Our plugins are tested with the WordPress and WooCommerce versions stated on the product page. We cannot guarantee compatibility with all themes, plugins, hosting environments, or custom configurations. We recommend testing in a staging environment before deploying to production.

12

Limitation of Liability

To the maximum extent permitted by applicable law, CodeAtoZ and its founders, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our Website, Products, or Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount you paid to CodeAtoZ in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the greatest extent permitted by law.
